1. Introduction & Legal Status

1.1. These Terms & Conditions (“Agreement”) constitute a legally binding agreement between the User (“You”, “Your”, “User”) and RIGARO EWORKS LLP, the owner of EMDPay.

1.2. By downloading, accessing, or using the Platform, You acknowledge that You have read, understood, and agreed to be bound by this Agreement.

1.3. EMDPay is not a bank, NBFC, financial institution, or lending company. EMDPay is a technology platform that enables Users to make digital payments for purposes including but not limited to Education Fee Payments, Rent & Maintenance Payments, Bill Payments, and other permitted categories.

1.4. EMDPay operates strictly under applicable Indian laws, including but not limited to the Indian Contract Act, 1872, the Information Technology Act, 2000, and guidelines issued by any regulatory body.

2. Eligibility & User Declarations

2.1. The Services are available only to:

  • Individuals aged 18 years and above;
  • Residents of India with valid government-issued identification;
  • Persons legally competent to enter into contracts under Section 11 of the Indian Contract Act, 1872.

2.2. By using the Platform, You represent that:

  • You are the lawful owner of the payment instruments used;
  • You will not use the Platform for fraudulent or unlawful transactions;
  • You agree to provide all information requested for compliance purposes.

3. Know Your Customer (KYC) & Verification

3.1. EMDPay may require Users to undergo mandatory KYC verification. This may include:

  • PAN Verification;
  • Aadhaar Verification (only last 4 digits stored, never the full Aadhaar number);
  • Soft Credit Bureau Checks with User consent;
  • Other documents as mandated by any regulatory body, banks, regulated entities or law.

3.2. By using the Platform, You expressly consent to EMDPay sharing relevant details with payment partners, banks, or regulatory authorities for verification.

3.3. EMDPay shall not be liable for denial of services arising due to incomplete, false, or fraudulent documents provided by the User.

4. Scope of Services

4.1. EMDPay enables digital payments for:

  • Education Fees (professionals, coaching centers, schools, colleges, universities or any other education center);
  • House Rent & Society Maintenance;
  • Other categories permitted by law.

4.2. EMDPay is only a Technology provider/ payment facilitator and does not assume responsibility for the quality, legality, or accuracy of services rendered by professionals, centers, institutions, landlords, or third parties.

5. Special Terms – Education Fee Payments

5.1. Users must provide accurate institution details and supporting documents while making payments.

5.2. EMDPay is not responsible for:

  • Disputes regarding admission, quality of education, late fee penalties;
  • Refunds due to transfer, withdrawal, or expulsion;
  • Service interruptions at the third party’s end.

5.3. Liability for Education Fee payments rests entirely between the User and the concerned third party.

6. Special Terms – Rent & Maintenance Payments

6.1. Users must ensure accuracy of landlord/association details.

6.2. EMDPay is not responsible for:

  • Ownership/title disputes;
  • Eviction issues, security deposit disputes;
  • Non-receipt of funds due to incorrect details provided by User.

6.3. All liabilities for Rent & Maintenance transactions rest solely between User and landlord/association.

7. Prohibited Transactions

Users shall not use the Platform for:

  • Any payment other than Education or Rent Payment
  • Purchase or sale of prohibited goods/services under Indian law.

8. Fees, Charges & Taxes

8.1. EMDPay reserves the right to levy fees, GST, or applicable taxes on transactions.

8.2. Once a transaction is completed, all fees/charges are non-refundable.

9. Liability Disclaimer

9.1. EMDPay shall not be liable for:

  • Delay or failure in processing due to banks, NPCI, UPI, payment gateway, or network outages;
  • Incorrect beneficiary details entered by User;
  • Disputes between User and beneficiaries (institutions, landlords, service providers);
  • Indirect, incidental, or consequential damages.

9.2. In any case, EMDPay’s liability shall not exceed the amount lying unremitted with EMDPay at the time of dispute.

10. Indemnity

You agree to indemnify and hold harmless EMDPay, its partners, employees, and affiliates from any claims, damages, penalties, or liabilities arising out of:

  • Breach of these Terms;
  • Misuse of Services;
  • Fraudulent or unlawful activities;
  • Claims raised by institutions, landlords, or third parties.

11. Force Majeure

11.1. EMDPay shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to:

  • Acts of God, natural disasters, epidemics, pandemics;
  • Strikes, labor disputes, government restrictions;
  • Power failures, internet/network outages, cyber-attacks.

11.2. Such events shall not relieve the User of obligations under these Terms.

12. Intellectual Property Rights

12.1. All content on the Platform (logos, trademarks, design, software, UI/UX, text, images) are the exclusive property of RIGARO EWORKS LLP.

12.2. Users are prohibited from copying, reproducing, reverse engineering, or exploiting the Platform’s content or software without prior written consent.

12.3. Unauthorized use may result in legal action under the Copyright Act, 1957 and Trade Marks Act, 1999.

13. Electronic Records & Communication

13.1. By using the Platform, You agree that communications, notices, agreements, and records provided electronically satisfy all legal requirements under the Information Technology Act, 2000.

13.2. Emails sent from support@emdpay.in shall be deemed official and legally valid communication.

14. Assignment of Rights

14.1. EMDPay may assign or transfer its rights and obligations under this Agreement without prior notice.

14.2. Users shall not assign their rights without written consent of EMDPay.

15. Suspension & Termination

15.1. EMDPay may suspend or terminate User access if:

  • Fraudulent activity is detected;
  • User violates these Terms;
  • Regulatory requirements mandate suspension.

15.2. Termination does not absolve User of liabilities incurred prior to termination.

16. Dispute Resolution & Governing Law

16.1. Disputes shall first be attempted to be resolved via support@emdpay.in.

16.2. Unresolved disputes shall be referred to arbitration under the Arbitration & Conciliation Act, 1996.

16.3. The seat and venue of arbitration shall be New Delhi, India.

16.4. Courts at New Delhi shall have exclusive jurisdiction.
